Welcome to TipTopics.com, the website component of services provided by corporate parent TipTopics LLC ("us", "we" or "the Company"). TipTopics LLC provides business advertising services, namely preparing and disseminating, primarily via email and internet channels, articles based on topical tips provided by clients including business owners, operators or their representatives.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of "TipTopics Services" (or "Services") which may include but are not necessarily limited to accessing or using the TipTopics.com website ("TipTopics.com" or the "Site"), TipTopics' outbound emails, TipTopics blogs, and any other features, content, or applications that may be offered by TipTopics LLC in connection with TipTopics.com. By using these Services, you signify that you (the "User") have read, understand and agree to be bound by this Agreement, whether you are a "Client" or "Content Provider" (which mean you have entered into a pay-for-service relationship with TipTopics LLC), a "Visitor" (which means that you simply browse TipTopics.com), a "Posting Visitor" (which means you are a Visitor who posts content, including solicited or unsolicited comments or responses to Site content or Content Providers), or a "Member" (which means that you have registered to manage your content services relationship with TipTopics.com and/or TipTopics LLC).

Privacy Policy. By accepting this Agreement, you also agree to abide by the TipTopics.com Privacy Policy.

Limited license. TipTopics LLC grants you, the User, a limited and revocable non-exclusive license for personal use of this Site. This limited license authorizes you to create hyperlinks to TipTopics.com (its home and/or internal pages) provided the links do not portray TipTopics LLC, TipTopics.com, its content, Content Providers or their services in a manner that is false or misleading, or which could be interpreted as offensive or derogatory. This limited license does NOT permit you to download, reproduce, copy, modify or sell any Site content without express written permission from TipTopics LLC.

Eligibility for inclusion as a Content Provider or Posting Visitor. Based on a variety of factors, not every Visitor or potential Client is appropriate for inclusion on TipTopics.com or for use of TipTopics LLC's related product and/or service offerings. TipTopics LLC reserves the right, in our sole discretion, to reject any submitted request for participation as a Content Provider or Posting Visitor. If initially approved, we reserve the right, in our sole discretion, to reject or remove any content, or to suspend the posting/submission privileges of any Content Provider or Posting Visitor, at any time, for any or no reason, with or without notice, and without liability.

Modification of Site. We reserve the right, in our sole discretion, to modify TipTopics.com, including removal of any content, at any time, for any or no reason, with or without notice, and without liability.

Modification of this Agreement. We reserve the right, in our sole discretion, to modify this Agreement at any time, for any or no reason, and without liability. We will post changes to this Agreement and the date of the most recent revision on this page. Your continued use of TipTopics Services after any such changes constitutes your acceptance of the new Agreement. If you do not so agree, you must immediately discontinue your use of TipTopics Services and TipTopics.com. It is your continuing responsibility to regularly review this Agreement for changes.

Trademarks. TipTopics LLC has filed an application for trademark registration for the term "TipTopics". All other trademarks appearing on TipTopics.com are the property of their respective owners.

Content standards. TipTopics.com content and related electronically distributed content is compiled in part from the insights and expertise of our Content Providers as well as comments from Posting Visitors. All content, regardless of its source, is expected and intended to be respectful to all Site Visitors and in compliance with United States and international copyright laws and other applicable laws. Further, content that is false, illegal, objectionable, obscene, threatening, defamatory, or that invades privacy or infringes intellectual property rights is prohibited. Content from Posting Visitors must not contain software viruses, nor include nor be included in, "spam". If you believe any content, regardless of its source, violates this standard, please contact us to report a possible content standards violation. Although TipTopics LLC may not regularly review content from Posting Visitors, we reserve the right, though not the obligation, to monitor, edit or remove such content.

Copyright. All Site content, including articles attributed to Content Providers and posted by Posting Visitors, is the property of TipTopics LLC and is protected by United States and international copyright laws. All software used in the continuing operation of TipTopics.com is the property of TipTopics LLC or its principals or software suppliers and protected by United States and international copyright laws.

Content Provider content rights. Each Content Provider represents and warrants that he or she owns or otherwise controls all rights to provided source content and that such source content complies with the Content Standards in this Agreement. Each Content Provider hereby grants TipTopics LLC the perpetual, exclusive, royalty-free and irrevocable rights to his or her attributed content as presented on TipTopics.com, including the free assignment of United States and international copyrights; and further grants TipTopics LLC exclusive and fully sub-licensable rights to use, modify, adapt, translate, display, publish, distribute, or reproduce said content, in excerpt or entirety, on TipTopics.com and in any other media anywhere in the world. Where possible, permissible and appropriate, TipTopics LLC agrees to provide citation or attribution to, and/or contact information for, the Content Provider on TipTopics.com and any other medium of presentation. TipTopics LLC also grants each Content Provider the permanent, exclusive and irrevocable right to reprint and/or reproduce such attributed content in excerpt or entirety provided such reprint or reproduction does not portray TipTopics LLC, TipTopics.com, its content, Content Providers or their services in a manner that is false or misleading, or which could be interpreted as offensive or derogatory; and provided that TipTopics.com is clearly and appropriately cited as the source for the content, with such appropriate citation reading: "As originally presented on TipTopics.com. Copyright [year of initial presentation], TipTopics LLC. All rights reserved."

Posting Visitor content rights. Each Posting Visitor represents and warrants that he or she owns or otherwise controls all rights to provided source content and that such source content complies with the Content Standards in this Agreement. Each Posting Visitor hereby grants TipTopics LLC the perpetual, non-exclusive, royalty-free and irrevocable rights to his or her posted content as presented on TipTopics.com, including fully sub-licensable rights to use, modify, adapt, translate, display, publish, distribute, or reproduce said content, in excerpt or entirety, on TipTopics.com and in any other media anywhere in the world. Where possible, permissible and appropriate, TipTopics LLC agrees to provide citation or attribution to, and/or contact information for, the Posting Visitor on TipTopics.com and any other medium of presentation. TipTopics LLC also grants each Posting Visitor the permanent, exclusive and irrevocable right to reprint and/or reproduce such attributed content in excerpt or entirety provided such reprint or reproduction does not portray TipTopics LLC, TipTopics.com, its content, Content Providers or their services in a manner that is false or misleading, or which could be interpreted as offensive or derogatory; and provided that TipTopics.com is clearly and appropriately cited as the source for the content, with such appropriate citation reading: "As originally presented on TipTopics.com. Copyright [year of initial presentation], TipTopics LLC. All rights reserved."

Limitation of liability for presentation of content. The statements and opinions expressed in TipTopics.com and related content are solely those of each Content Provider and/or Posting Visitor; although the service professionals at TipTopics LLC have, in most cases, assisted Content Providers in the preparation and presentation of their expert commentary, we do not claim the expertise necessary to validate or confirm statements or claims made. We assume no responsibility or liability in presenting this content. If you believe any posted content to be inaccurate, click here to report a possible content standards violation.

Statement of non-endorsement and denial of warranty. TipTopics LLC neither endorses participating businesses nor warrants claims made in presented content or in subsequent communications you may have with Content Providers individually. We recommend that you ask for references and/or check out resources including the Better Business Bureau before engaging the services of any listed business or Content Provider.

Disclaimer of warranties and limitation of liability for Site operation. TipTopics.com is provided on an "as is" and "as available" basis. Your use of this Site is at your own risk. We make no representations or warranties of any kind, express or implied, as to the operation or content of this Site, and assume no liability for any interruption or removal of service. Further, to the extent permissible by applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. TipTopics LLC does not warrant this Site, its servers, or email sent from TipTopics.com or TipTopics LLC to be free of software viruses or other potentially harmful components. TipTopics LLC will not be liable for any damages of any kind arising from use of this Site.

Limited remediation for Content Providers only. If TipTopics.com experiences a temporary service interruption that extends beyond thirty (30) days, the sole remedy for Content Providers will be the extension of the Client's period of Site exposure for a term equal to the period of interruption.

Electronic communications. You agree that all notices, disclosures, agreements, and other communications we provide to you electronically (i.e., via email or postings to TipTopics.com) satisfy any legal requirement that such communications be in writing.

Applicable Law. By visiting TipTopics.com, you agree that the laws of the state of Indiana, without regard to principles of conflict of laws, will govern this Agreement and any dispute that might arise between you and TipTopics.com, TipTopics LLC, its Principals, Content Providers or Posting Visitors.

Severability. If any portion of this Agreement is determined to be void, invalid or unenforceable, that portion shall be deemed severable and such severability shall not affect the validity and enforceability of remaining portions.
